I just purchsed a new Razr M with the newest OTA installed. From what I see there is no root or unlocked bootloader, is this correct?

You need to dig a little harder. There is a root process, based off of Motochopper. It's over on Droidrzr.com.

I did try this before posting, but assumed there was a problem because it fails.
Where is system.img or system.img.ext4 which says it may help. I am familiar with rooting, but not where to find this.

So my razr m is unlocked and on the ota 98.16.3. Im not rooted but is it still possible to flash a recovery and install a rom at this point?

Yes it is, use Matt's utility or download the img and flash it. No root needed

My Razr M is on the OTA update 4.1.2 and for some reason their is absolutely no way to root it! ive tried it all and nothing works. i was wondering if i could downgrade back to 4.1.1 so i can root it and get cyanogenmod.

Motochopper 1.3 will root you. With that being said, you won't be able to downgrade if your bootloader is locked, even if you are rooted, and you won't be able to run CM unless your bootloader is unlocked. There was a CM10 build that worked with SafeStrap but I don't think it's around anymore.
So I have Razr M and for some reason has been unable to update. I tried the verizon store and the guy working there tried many different things but nothing worked.
So now I am looking root and throw Cyanogen mod 11 on my phone. Only thing is I am still on Android 4.1.2 and System Version 98.15.66.XT907 since I cannot update for whatever reason.
So could anyone please point me to where I can find info on how to root this version?

You could use RSD Lite to flash the official firmware.
Use Towel Root or Motochopper(Jelly Bean Only) to root.
If you want to flash a custom ROM, you'll need to unlock your bootloader. I believe the version you are on (.66) is unlockable, so is the latest version (KitKat). If this is what you want, the information is HERE but beware that unlocking your bootloader will void your warranty.

It does not require root... There are several guides/videos online about how to use rsd just Google it... If you have any issues with the flash let us know...

yes you can update with locked bootloader, you can not downgrade with locked bootloader.

Flashed VZW_XT907_4.4.2-KDA20.62-10.1_1FF.xml.zip with RSD Lite; file 15 which was system.img didn't want to load & kept telling me "fail" but I did NOT exit the Fastboot mode (don't like expensive bricks), I just kept trying until it worked on a different USB port.
Got root via towelroot.apk & then unlocked bootloader using motoapocalypse.apk.
Install TWRP recovery from http://www.droidrzr.com/index.php/topic/51942-recoverytwrp-2800/
Installed my apps & made a backup.
Works like a charm; thanks!

Thank you for updating to the unlockable version and taking advantage of it. Too many people ignore the warnings that .15 is not unlockable and beg for an unlock... Not gonna happen! Happy Flashing!

I upgraded from that version to 183.46.10 and get root but no success with unlocking bootloader, Use towelroot to get root and it will give you root atleast.

Do not OTA it! Grab the FXZ file and RSD to the proper version and you can root/unlock perfectly.

If it took you straight to .15 or a newer kernel, yes.
There are two .10s one with fixed kernel one without fixed kernel, my guess is ota is now always fixed kernel
Don't ota. On a related note. There was an earlier version that Boot loader unlock worked on, can't recall if it was .1 or not so try it. Just as is
